1. Subject matter of the contract
1.1. These general terms of use (“Terms of Use”) contain general regulations for the use of the website provided by VESTEL GERMANY GmbH (”Daewoo”), which is accessible at https://daewooelectronics.com/eu/ (”Site”). These Terms of Use shall only apply where the user of the Site chooses Germany as the relevant market/location on the relevant section of the Site (“Territory”).
1.2. The information available on the Site is intended to provide users with general information about Daewoo products, which are being produced by or for Daewoo and can be purchased from resellers/retailers of Daewoo products (together ”Daewoo Products”). The availability and features of Daewoo Products such as colors, technical features as well as guarantee or warranty conditions applicable to Daewoo Products purchased from resellers may vary depending on the place of residence or location of the user and/or the Daewoo Products reseller from which the user purchases the Daewoo Products, or depending on the applicable law and/or the terms and conditions of sale applicable to such sale transaction. Daewoo does not offer any products for sale via the Site and does not assume any warranty or guarantee or similar obligation or liability towards the user of the Site, except where the Site explicitly provides for otherwise.
1.3. Details of the information and services to be provided by Daewoo via the Site, the individual contractual relationships, and the applicable contractual terms are contained in the following provisions.
1.4. Further information on the processing of personal data can be found in the privacy policy linked in the footer of the Site.
2. Acceptance of these Terms of Use and use of the Site
2.1. By using the Site, the user confirms that it accepts these Terms of Use and that it agrees to comply with them.
2.2. If the user does not agree to these terms, it must not use the Site.
2.3. Access to the Site is provided on a temporary basis and Daewoo reserves the right to withdraw or suspend access at any time as set out below.
3. Use of the Site, Obligations of the User and Blocking
3.1. The user may use the Site only for lawful purposes and is prohibited from using the Site especially for the following purposes and in the following ways:
3.1.1. in a manner that violates any applicable local, national or international laws or regulations,
3.1.2. in a manner, for a purpose or with a consequence that is unlawful,
3.1.3.for the purpose of harming or attempting to harm minors in any way,
3.1.4. to harass, insult, intimidate or humiliate a person,
3.1.5.to send, knowingly receive, upload, download, use or reuse material that does not comply with Daewoo's content standards,
3.1.6. send or cause to be sent any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation (spam),
3.1.7.knowingly transmit data, send or upload material that contains viruses, trojan horses, worms, time bombs, keystroke loggers, spyware, adware or other harmful programs or similar computer code designed to adversely affect the operation of computer software or hardware.
3.2. By using the Site, the user also agrees:
3.2.1. not to reproduce, duplicate, copy or re-sell any part of the Site in contravention of the provisions of these Terms of Use.
3.2.2. not to access without authority, interfere with, damage or disrupt:
3.2.2.1. any part of the Site;
3.2.2.2. any equipment or network on which the Site is stored;
3.2.2.3. any software used in the provision of the Site; or
3.2.2.4. any equipment or network or software owned or used by any third party.
4. Availability and Security
4.1. The Site is made available free of charge on a temporary basis. Daewoo endeavours to provide the Site and the functionalities and services provided with as little interruption as possible. Availability depends on Daewoo's technical and operational capabilities. Care and maintenance work may lead to a temporary outage. Such an outage due to care and maintenance services shall not be deemed an interference of availability. Daewoo endeavours to give reasonable announcement of any unavailability of the Site and/or individual functionalities and services.
4.2. Daewoo does not guarantee that the Site, or any content on it, will always be available or be uninterrupted. Daewoo may suspend, withdraw or restrict the availability of all or any part of the Site for business and operational reasons. Daewoo will try to give the user reasonable notice of any suspension or withdrawal.
4.3. Daewoo does not guarantee that the Site will be secure or free from bugs or viruses.
4.4. The user is responsible for configuring the information technology, computer programmes and platform used to access the Site. The user should use its own virus protection software.
4.5. The user must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. The user must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. The user must not attack the Site via a denial-of-service attack or a distributed denial-of-service attack. Daewoo will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing the user’s identity to them. In the event of such a breach, the user’s right to use the Site and Daewoo services will cease immediately.
5. Use of material on the Site
5.1. Daewoo is the owner or licensee of, or has the right to use, all intellectual property rights on the Site and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
5.2. The user is not permitted to copy or download extracts of any page(s) from the Site.
5.3. The user must not modify the paper or digital copies of any materials it has printed off or downloaded in any way, and it must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
5.4. Daewoo’s status (and that of any of its affiliates or identified contributors) as the authors of content on the Site must always be acknowledged.
5.5. The user must not use any part of the content on the Site for commercial purposes without obtaining a licence to do so from Daewoo or its licensors.
5.6. If the user prints off, copies or downloads any part of the Site in breach of these Terms of Use, its right to use the Site will cease immediately and it must, at Daewoo’s option, return or destroy any copies of the materials the user has made.
6. Modification of the Terms of Use and the Site
6.1. Daewoo reserves the right to change these Terms of Use. This does not include significant changes to the basic functions of the Site without appropriate notice if such changes materially affect the user.
6.2. Daewoo may update and modify the Site from time to time to reflect changes in the needs of its users and its business direction. All content on the Site and the features and services provided thereon may become obsolete at any time. Daewoo is under no obligation to update or maintain such content.
7. Liability
7.1. Claims of the user for damages are excluded. This does not apply to claims for damages resulting from injury to life, body or health or from the breach of essential contractual obligations as well as liability for other damages based on an intentional or grossly negligent breach of a duty by us, our legal representatives or vicarious agents. Essential contractual obligations are those whose fulfilment is necessary to achieve the objective of the contract.
7.2. In the event of a breach of essential contractual obligations, we shall only be liable for the foreseeable damage typical for the contract if such damage was caused by ordinary negligence, unless the user’s claims for damages are based on injury to life, body or health.
7.3. The limitations of liability resulting from paragraphs 1 and 2 shall not apply if we have fraudulently concealed a defect. Furthermore, the provisions of the German Product Liability Act (Produkthaftungsgesetz) shall remain unaffected.
8. Links to and from the Site
8.1. Links to third party websites or services included on the Site are provided for the users' information only (including links or references to dealers or resellers under any “Find Store” or similar function of the Site). Daewoo does not adopt the content of the linked websites or services. Daewoo has no control over the content of these sites and services and does not guarantee the functionality and the stock status of retailers or resellers of Daewoo Products and does not assume any liability for such reference to other retailers or resellers.
8.2. When linking to the Site, the following must be observed:
8.2.1. Users may link to the home page of the Site, provided that they do so in a lawful manner that does not damage or exploit Daewoo's reputation.
8.2.2. Users may not establish a link in a manner that suggests any form of affiliation, approval or endorsement by Daewoo when none exists.
8.2.3. Users may not establish a link to the Site on a website that is not operated by them.
8.2.4. The Site may not be included on other websites and services through frames, embedded links or other methods, nor may the user link to any part of the Site and Daewoo’s services other than the home page.
8.2.5. Daewoo reserves the right to withdraw permission to link without notice.
8.2.6. The website on which the user places the link must comply in all respects with the content requirements specified by these Terms of Use, in particular with section 3.
8.3. The user who wishes to link or use content from the Site other than that specified in section 8.2.1 must obtain Daewoo's prior consent via helpdesk.DE@daewooelectronics.com in advance of setting the link or using the content.
9. Final Provisions
9.1. If individual clauses of these Terms of Use are or become invalid or unenforceable in whole or in part, this shall not affect the validity of the remaining provisions.
9.2. The law of Federal Republic of Germany shall apply exclusively to disagreements and disputes arising from these Terms of Use, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG), without reference to its conflict of laws principles if such reference would lead to the application of another law.
9.3. If the user had their domicile or usual place of residence in Germany when these Terms of Use were concluded and has either moved out of Germany at the time the action is brought by Daewoo or user’s domicile or usual place of residence is unknown at this time, the place of jurisdiction for all disputes shall be Munich.
9.4. The European Commission provides a platform for online dispute resolution (ODR). The platform serves as a point of contact for the out-of-court resolution of disputes regarding contractual obligations arising from online sales contracts or online service contracts.
